Steven B. Herzberg

Mr. Herzberg’s practice focuses on the representation of clients in transactions and disputes regarding real estate, commercial law, and aviation matters. Since he joined the firm in January 2016, he has successfully represented various entities and individuals in commercial and residential estate transactions, financing matters, and real estate development projects. Mr. Herzberg has also represented clients in commercial and civil disputes in Florida state courts, the Florida District Court of Appeals, and Federal Court. Additionally, Mr. Herzberg also represents clients in various domestic and international corporate transactions,  and various aviation transactions, aviation regulatory matters, and aviation related disputes.

Prior to joining the firm, Mr. Herzberg was corporate counsel for a foreign owned and operated real estate investment fund in South Florida. At the investment fund he headed the fund’s legal department in areas regarding bulk purchases, real estate development, and institutional investments. While in law school Mr. Herzberg spent time clerking for the United States Department of Homeland Security, and one of Miami’s most prominent real estate developers, Dezer Development.

Born and raised in Miami, he obtained his dual bachelors degree in Geography and International Affairs from The George Washington University in Washington D.C. He went on to attend and graduate cum laude from the University of Miami School of Law. At Miami Law he received the deans certificate for the highest grade in the class in Aviation Law and Landlord Tenant Law, as well as being an Academic Dean’s Fellow for two semesters for Professor Stephen Diamond. He is also a Leaders Fellow for the James Madison Institute for the class of 2015 and 2016.

Represented a local developer in entering into two 12-year pre-construction leases of multifamily developments with a shared living space provider Common Living.

Represented local tour boat operator in obtaining city approval for the long-term lease of City of Miami waterfront property through a city Request for Proposal.

Represented developers of retail, hospitality and residential developments regarding the sale and purchase of land and developments involving a myriad of issues, such as transfer of development rights, financing, government approvals, due diligence matters.

Represented various international and domestic corporations with the purchase, sale, leasing, management and financing of various classes of aircraft.

Represented a South Florida real estate investment fund in the purchase and subsequent refinancing of five multifamily properties within in a three month timeframe.

Represented a Barbados company in the stock purchase agreement of a Curacao real estate holding company regarding a real estate development property in Southeast Florida.

Represented a local developer in the 10-year lease of a 6,000 square foot restaurant location on Miami’s SW 8th street corridor.

Represented local clothing retail chain in a long-term lease for a retail location in Miami’s Wynwood district, to be leased from a national New York based real estate investment fund.

Represented lending institutions and commercial property owners regarding various real estate financing, including cross collateralized financing, construction financing, lines of credit, and acquisition or financing of distressed properties.

Represented a U.S. Company in obtaining U.S. Department Of State and U.S. Department of Commerce approval for the sale and export of an International Trafficking in Arms Regulated item to be sold to a foreign government

Represented a Florida corporation in the Third District Court of Appeals on a contract dispute against a Spanish Corporation. Ingenieria Y Exportacion De Tecnologia S.L., v. Freytech, Inc., 210 So.3d 211 (Fla. 3d DCA 2016).

Represented a South American corporation in a breach of contract action regarding a business jet aircraft against a Delaware Corporation in Federal Court by reaching a settlement  1-week before trial. Zuma Seguros, CA, v. World Jet Of Delaware , Inc., 2017 WL 4577296 (S.D. Fla. 2017). 

Represented a group of over twenty investors regarding claims of fraud on a hotel real estate investment project located in Bal Harbour, Florida.

Represented a world leading Indian based agriculture company and its Argentina and Mauritius subsidiaries in the successful dismissal of a seven figure breach of contract dispute against a Latin American based international cargo airline.

Represented foreign real estate investors in the collection and settlement of disputed condominium fees and cost in excess of one million dollars.

Represented a U.S. corporation in a contract dispute with a large European manufacturer on breach of contract claim regarding export regulations and approvals.
